These Website Terms of Use apply to cyclect.com and all websites, subdomains, campaign pages, landing pages, career pages, digital forms, downloadable materials and online content operated by or on behalf of Cyclect Holdings Pte Ltd.
By accessing or using this website, you agree to these Terms. If you do not agree, you must not access or use this website.
1. Definitions
In these Terms:
“Cyclect”, “we”, “us” or “our” means Cyclect Holdings Pte Ltd and, where the context permits, its related corporations, associated companies, subsidiaries, affiliates, business units, officers, employees, contractors, agents, advisers, licensors and service providers.
“Site” means cyclect.com and all Cyclect-controlled websites, subdomains, campaign pages, landing pages, career pages, digital forms, downloadable materials and online content.
“Content” means all text, graphics, photographs, images, videos, audio, user interfaces, website layouts, software code, technical information, product information, brochures, case studies, project references, certifications, credentials, logos, trademarks, service marks and other materials displayed or made available on or through the Site.
“Submission” means any enquiry, message, feedback, job application, CV, resume, personal data, newsletter request or other material submitted to Cyclect through the Site.
2. About Cyclect and Related Entities
The Site is owned, controlled or operated by or on behalf of Cyclect.
References to “Cyclect”, “Cyclect Group”, “the Group”, “our company”, “we”, “us” or similar expressions may refer to Cyclect Holdings Pte Ltd, one or more related corporations, associated companies, subsidiaries, affiliates, business units or brands within the Cyclect group, depending on the context.
Such references are used for general website convenience only. They do not mean that every Cyclect entity provides every service, holds every certification, owns every credential, or is responsible for every project, product, service or obligation described on the Site.
The specific contracting entity, service provider, employer or responsible Cyclect entity will be determined separately in the relevant contract, quotation, purchase order, employment document, engagement letter or written agreement.
3. Acceptance and Changes to These Terms
Cyclect may amend, update, replace or remove any part of these Terms at any time without prior notice.
The updated Terms will take effect when posted on the Site, unless otherwise stated. Your continued access to or use of the Site after the updated Terms are posted constitutes acceptance of the updated Terms.
You are responsible for reviewing these Terms periodically.
4. Ownership and Intellectual Property
All Content on the Site is owned by Cyclect or licensed to Cyclect, unless expressly stated otherwise.
The Site and its Content are protected by copyright, trademark, passing off, database rights, unfair competition laws and other intellectual property and proprietary rights.
You must not copy, reproduce, republish, upload, post, transmit, modify, translate, adapt, distribute, sell, license, frame, mirror, create derivative works from, or commercially exploit any part of the Site or Content without Cyclect’s prior written consent.
All Cyclect names, logos, marks, trade names, service names, slogans, designs, visual identity elements and brand assets are proprietary to Cyclect or its licensors. No licence or right is granted by implication, estoppel or otherwise.
5. Permitted Use of the Site
Subject to these Terms, Cyclect grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Site for legitimate business, procurement, employment, informational or evaluation purposes.
You may view the Site and download materials that Cyclect expressly makes available for download, provided that you:
- use them only for legitimate internal business, procurement, employment, evaluation or reference purposes;
- do not remove, obscure or alter any copyright, trademark, proprietary or disclaimer notice;
- do not modify, reproduce, republish, sell, distribute or commercially exploit them;
- do not present them as your own materials;
- do not imply that Cyclect has endorsed you, your organisation, your product or your service; and
- do not use them in a way that may prejudice Cyclect’s commercial, legal, technical or competitive position.
6. Restrictions on Use, Scraping and AI Training
You must not, and must not assist any other person to:
- use the Site or Content for any unlawful, fraudulent, harmful, defamatory, obscene, threatening, abusive, discriminatory or malicious purpose;
- interfere with the operation, security, availability or performance of the Site;
- upload, transmit or introduce malware, spyware, ransomware, corrupted files, harmful code or any destructive material;
- attempt to gain unauthorised access to any system, server, database, account, network or non-public area of the Site;
- probe, scan, test or assess the vulnerability of the Site or any connected system without Cyclect’s prior written authorisation;
- use robots, spiders, crawlers, scrapers, automated scripts, browser automation, data-mining tools or similar technologies to access, copy, extract, index, monitor or analyse the Site or Content;
- use the Site or Content to train, fine-tune, evaluate, benchmark or operate any artificial intelligence model, machine learning system, search index, commercial dataset or automated knowledge system without Cyclect’s prior written consent;
- bypass, interfere with or circumvent any access control, authentication, rate limit, robot exclusion protocol, security feature or technical protection measure;
- impersonate any person or organisation, misrepresent your authority, or submit false or misleading information;
- infringe any intellectual property, confidentiality, privacy, data protection, security, contractual or third-party right; or
- use the Site or Content to compete unfairly with Cyclect or misappropriate Cyclect’s commercial, technical or strategic materials.
Cyclect may block, restrict, suspend, investigate or take legal action against any misuse of the Site.
7. Website Content, Technical Information and Credentials
The Site may contain information about Cyclect’s businesses, services, solutions, industries, products, systems, projects, technical capabilities, credentials, certifications, awards, memberships and case studies.
Such information is provided for general corporate and informational purposes only. It must not be treated as final, complete, current, project-specific or technically suitable for any particular application.
Nothing on the Site constitutes:
- professional engineering advice;
- technical advice for any specific asset, facility, project or system;
- a binding representation of capability, availability or suitability;
- a quotation, offer, tender response or contractual commitment;
- a guarantee of performance, outcome, compliance or project eligibility; or
- an amendment to any contract, quotation, proposal, purchase order or written agreement with Cyclect.
You must independently verify with Cyclect, in writing, the accuracy, suitability, scope, validity, currency and applicability of any technical, commercial, credential or capability information before relying on it.
Cyclect may update, amend, withdraw or discontinue any Content, product, system, service, credential, specification, case study or project reference at any time without notice.
8. Credentials, Certifications, Memberships and Awards
The Site may refer to credentials, certifications, licences, registrations, accreditations, memberships, awards or recognitions held by Cyclect or by one or more Cyclect entities.
Unless expressly stated otherwise:
- a credential may apply only to a specific Cyclect entity;
- a credential may be limited by scope, geography, activity, business unit, date, validity period, issuing authority or project type;
- a credential displayed on the Site does not mean that every Cyclect entity holds the same credential;
- a credential displayed on the Site does not guarantee eligibility for every tender, project, customer requirement or regulatory requirement;
- a credential may have expired, been renewed, varied, suspended, replaced or superseded; and
- users must verify the current scope and validity of any credential directly with Cyclect before relying on it.
9. Project References and Case Studies
The Site may refer to selected projects, industries, clients, assets, locations, photographs, installations or case studies.
Such references are provided for general corporate and capability illustration only. They do not imply:
- current appointment by any named client;
- endorsement by any client, authority, owner, consultant, contractor or project party;
- that the same scope, configuration, solution, performance outcome or delivery model is available for future projects;
- that Cyclect performed all elements of a project;
- that Cyclect remains engaged on the referenced asset or project; or
- that project information remains current.
Cyclect reserves the right to remove, anonymise, amend or limit project references at any time.
10. Downloads and Brochures
The Site may make brochures, datasheets, corporate profiles, capability statements, articles, credentials summaries, case studies or other materials available for download.
These materials are provided for general reference only. They may not contain the latest information and may not apply to all Cyclect entities, services, solutions, products, locations or projects.
You must not rely on downloaded materials as final, complete, current or project-specific unless Cyclect confirms this in writing.
Cyclect may withdraw, replace or amend any downloadable material at any time without notice.
11. Enquiries, Forms, Newsletter and Job Applications
The Site may allow you to submit enquiries, contact forms, newsletter requests, feedback, job applications, CVs, resumes and other materials.
By making a Submission, you represent and warrant that:
- you have the right and authority to make the Submission;
- the Submission is accurate, lawful and not misleading;
- the Submission does not infringe any intellectual property, confidentiality, privacy, data protection, contractual or third-party right;
- the Submission does not contain malware, harmful code or unlawful material; and
- Cyclect may receive, store, review, process, copy, transmit, disclose and use the Submission for the purpose for which it was submitted and for related business, recruitment, legal, operational, compliance, administrative and record-keeping purposes.
Unless Cyclect has entered into a separate written non-disclosure agreement with you, Submissions made through the Site are not treated as confidential merely because they are submitted through the Site.
You must not submit confidential, sensitive, proprietary, classified, export-controlled, security-sensitive or restricted information through the Site unless a separate written agreement with Cyclect expressly governs such submission.
Cyclect has no obligation to review, accept, respond to, return, preserve, delete or act on any Submission.
Submitting a job application does not guarantee employment, interview, response, offer or engagement.
12. Personal Data, Cookies and Tracking Technologies
Cyclect may collect, use, disclose and process personal data through the Site, including through contact forms, job applications, newsletter subscriptions, analytics tools, CRM systems, cookies, pixels, reCAPTCHA, security tools and similar technologies.
Such collection, use, disclosure and processing will be governed by Cyclect’s Privacy Policy / PDPA Notice, as updated from time to time.
By using the Site or submitting personal data through the Site, you acknowledge that Cyclect may process personal data for purposes including:
- responding to enquiries;
- managing business development and customer relationships;
- processing job applications;
- sending newsletters or updates where permitted;
- operating, securing and improving the Site;
- analytics, performance measurement and marketing attribution;
- compliance, audit, legal and regulatory purposes; and
- other purposes notified in Cyclect’s Privacy Policy / PDPA Notice.
Internet transmissions are not guaranteed to be completely private or secure. You submit information through the Site at your own risk.
13. Third-Party Websites and Services
The Site may contain links, embeds, maps, videos, social media integrations, certification references, partner references, supplier links or other connections to third-party websites, platforms, tools or services.
Third-party websites and services are not controlled by Cyclect. Cyclect is not responsible for their content, security, accuracy, availability, policies, practices or legal compliance.
Links to third-party websites do not imply endorsement, sponsorship, verification, approval or responsibility by Cyclect.
You access third-party websites and services at your own risk and subject to their own terms and policies.
14. Export Controls, Sanctions and Restricted Use
Cyclect may serve industries involving critical infrastructure, defence-related facilities, marine, aviation, semiconductor, energy, utilities, industrial manufacturing and other controlled or regulated environments.
You must not use the Site, Content, downloads or information obtained from Cyclect in breach of any applicable export control, sanctions, trade control, procurement, security, defence, anti-bribery, anti-corruption, anti-money laundering or regulatory requirement.
Cyclect may refuse, suspend or terminate access, enquiries, submissions or dealings where Cyclect considers there may be legal, sanctions, export control, security, reputational or compliance risk.
15. Disclaimer
To the fullest extent permitted by law, the Site and all Content are provided on an “as available” and “as presented” basis without any warranty, representation, undertaking or condition of any kind.
Cyclect does not warrant or represent that:
- the Site will be uninterrupted, secure, error-free, current or available at all times;
- defects will be corrected;
- the Site or any download will be free from viruses, malware, harmful code or destructive components;
- the Content is accurate, complete, current, suitable or reliable;
- any product, service, system, credential, resource or capability described on the Site is available or suitable for any particular user, project or purpose;
- the Site will meet your requirements; or
- any communication or submission through the Site will be secure, confidential, received, reviewed or answered.
All implied warranties, representations, terms and conditions are excluded to the fullest extent permitted by law, including any implied warranties of accuracy, merchantability, satisfactory quality, fitness for purpose, non-infringement, availability and reasonable care and skill.
16. Limitation of Liability
To the fullest extent permitted by law, Cyclect shall not be liable for any loss, damage, cost, expense, claim or liability arising out of or in connection with:
- your access to, use of or inability to use the Site;
- your reliance on any Content;
- any error, omission, interruption, delay, defect, security incident, malware, system failure or data loss;
- any Submission made through the Site;
- any third-party website, platform, service, tool or content;
- any change, suspension, withdrawal or discontinuation of the Site or Content; or
- any use of technical information, credentials, case studies, project references or downloadable materials.
To the fullest extent permitted by law, Cyclect shall not be liable for any indirect, special, incidental, consequential, punitive or exemplary loss or damage, or for any loss of profit, revenue, business, contract, opportunity, goodwill, data, anticipated savings, production, use, reputation or commercial advantage.
To the fullest extent permitted by law, Cyclect’s total aggregate liability arising out of or in connection with the Site, Content, Submissions or these Terms shall not exceed Singapore Dollars Ten (S$10).
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
17. Indemnity
You shall indemnify, defend and hold harmless Cyclect from and against all claims, demands, actions, proceedings, losses, liabilities, damages, costs and expenses, including legal costs on a full indemnity basis, arising out of or in connection with:
- your access to or use of the Site;
- your breach of these Terms;
- your Submission;
- your infringement of any intellectual property, confidentiality, privacy, data protection, security, export control, sanctions, contractual or third-party right;
- your misuse of Content;
- your unlawful, negligent, fraudulent, malicious or harmful conduct; or
- any claim by a third party arising from your act, omission or information supplied to Cyclect.
18. Changes to the Site
Cyclect may at any time, without notice:
- modify, update, suspend, withdraw or discontinue the Site or any part of it;
- amend, remove or restrict any Content;
- change Site functionality, forms, downloads or access requirements;
- perform maintenance, upgrades, security actions or system changes; and
- limit Site availability by user, geography, device, business purpose or other criteria.
Cyclect is not liable for any consequence arising from such action.
19. Enforcement
Cyclect may, without prior notice and without liability, take any action it considers appropriate where it suspects breach, misuse, unlawful conduct, security risk, operational risk or reputational risk.
Such action may include:
- blocking, limiting, suspending or terminating access;
- removing, disabling or rejecting Submissions;
- investigating activity on the Site;
- preserving, reviewing or disclosing relevant information where permitted or required by law;
- reporting conduct to regulators, law enforcement, affected parties or service providers;
- seeking injunctive, equitable, contractual or statutory relief; and
- recovering losses, costs and expenses.
You acknowledge that breach of these Terms may cause irreparable harm to Cyclect for which damages may not be an adequate remedy.
20. Governing Law and Jurisdiction
These Terms and any dispute, claim or matter arising out of or in connection with the Site, Content, Submissions or these Terms shall be governed by and construed in accordance with the laws of Singapore.
You agree to submit to the exclusive jurisdiction of the courts of Singapore.
Cyclect may, however, seek urgent, injunctive, interim or protective relief in any jurisdiction where Cyclect considers it necessary to protect its rights, systems, intellectual property, security, business interests or reputation.
21. Severability
If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, lawful and enforceable.
If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
22. No Waiver
Failure by Cyclect to enforce any provision of these Terms shall not constitute a waiver of that provision or of any right, remedy or power of Cyclect.
Any waiver must be in writing and signed by Cyclect.
23. Entire Agreement for Website Use
These Terms constitute the entire agreement between you and Cyclect regarding your access to and use of the Site.
They do not replace any signed written agreement between you and Cyclect relating to a project, quotation, proposal, purchase order, supply, service, maintenance, employment, confidentiality, partnership or other commercial arrangement.
